The company Grün Software Group:

Based in Aachen, the GRÜN Software Group has grown from a medium-sized software company into a group of companies with around 370 employees across 12 locations. It offers specialised industry software and smart services for associations, charitable organisations, educational providers, the media, retail, industry and time management. Through its subsidiaries and platforms, GRÜN operates a networked data ecosystem, complementing this with digital agency services, outsourcing services and ongoing software services.

At its core, GRÜN develops and operates ‘Business Software made in Europe’ for clearly defined target sectors. The portfolio includes, amongst other things, membership, donation and seminar management software, publishing and book trade solutions, time and attendance tracking and access control, as well as online fundraising tools. In addition, GRÜN offers consultancy on digitalisation, IT and business outsourcing, as well as implementation, support and updates – all delivered by an experienced team with a strong focus on SMEs and the non-profit sector.

The challenge

The transaction was prompted by an age-related business succession on the seller’s side. For GRÜN, the aim was to facilitate a viable succession plan whilst ensuring continuity in the service provided to long-standing clients.
As part of the long-term ‘buy-and-build’ strategy, it was also crucial to carefully assess the strategic fit and technological capabilities of the target company, and to translate purchase price expectations and future prospects (growth, integration, synergies) into a robust structure that would benefit both parties.

The solution: Acquisition of CashControl

CashControl Kassensysteme GmbH, a company that develops and markets cloud-based point-of-sale and accounting software for institutional and corporate catering, was acquired. CashControl is characterised by long-standing, well-established customer relationships; furthermore, a significant proportion of its turnover is based on recurring revenue from SaaS contracts.
The transaction strengthens the market position in the target segment by providing access to an established customer base and a proven product portfolio. At the same time, it expands the technological foundation through the tried-and-tested software solution, which can be integrated into GRÜN raw GmbH. The acquisition took the form of a 100% takeover via the subsidiary GRÜN raw GmbH.
