Management buy-out at
ZAHORANSKY Formen- und Werkzeugbau
We supported the successful carve-out – from strategic planning right through to the closing.
The company ZAHORANSKY Formen- und Werkzeugbau:
ZAHORANSKY GmbH Formen- und Werkzeugbau, based in Steinberg, has been established since 1991 as a specialist provider in mould and tool making. Drawing on its experience from around 1,200 injection moulds of various categories, the company develops bespoke solutions from the initial concept through to the series-production product.
With around 70 employees, ZAHORANSKY Formen- und Werkzeugbau serves a wide range of industries, from packaging and medical technology through to consumer applications, and including injection moulding and blister cutting tools. Certifications to DIN 9001, 14001 and 50001, flexible capacity including three-shift operation, and the strategic advantage of its location in Central Europe ensure high quality, short lead times and reliable delivery.
The challenge
As part of the group’s reorganisation, the ZAHORANSKY Group identified the mould and toolmaking company as the unit with the greatest potential to position itself sustainably and competitively, independent of the group structure, and to continue growing. Against this backdrop, 100 per cent of the shares in the mould and toolmaking company were put up for sale.
The market is characterised by increasing international competition. Our remit was to structure the sale process holistically, to map out an independent, sustainable path for the unit, and to implement this within an ambitious timeframe.
The solution: a management buy-out by the long-standing managing director
The management buy-out by the long-standing managing director provided a solution that combines strategic continuity, market expertise and cultural fit. The new owner has been managing director of ZAHORANSKY Formen- und Werkzeugbau since 2014 and knows the company and its team inside out – from customer relations and technology right through to processes.
During the transaction, he switched from an initial role on the seller’s side to the buyer’s side and assumed responsibility as an entrepreneurial owner. This enables a clear focus on the strengths of the Steinberg site, secures jobs and lays the foundations for the targeted development of new markets. At the same time, it paves the way for ZAHORANSKY Formen- und Werkzeugbau to achieve its goal of becoming an independent, high-performing unit with a strong basis for independant further development.
