The company Crosscan:
Crosscan GmbH, based in the Ruhr region, is one of the pioneers of cloud-based retail analytics platforms in Germany. Since its foundation in 2003, Crosscan has been supporting B2B clients in the retail sector in particular with highly accurate footfall counts and visitor analytics for data-driven and efficient space management.
Crosscan’s systems are in use worldwide and provide globally active retail chains and property operators with real-time metrics such as visitor and passer-by data, dwell times and demographic information. This enables retail spaces to be optimised in a targeted manner and locations to be managed on the basis of data.
The challenge
The transaction was prompted by a strategic realignment on the part of the existing shareholder. Against this backdrop, the aim was to find a suitable new shareholder who would provide reliable support for Crosscan’s future development.
At the same time, the process was to be conducted in a structured, professional and orderly manner, in the interests of all parties involved. We were mandated to identify a suitable buyer, to manage the entire M&A process and to guide the management team through the transaction in a spirit of trust.
The solution: a private equity firm as a partner
As part of a sell-side process that we initiated and managed, we were able to secure an anonymous strategic investor with an excellent strategic fit. The buyer provides Crosscan with the foundation to further expand its existing market position in retail analytics and footfall measurement and to secure its long-term growth.
We were responsible for the entire M&A process – from developing the transaction concept and preparing professional process documentation, through identifying and approaching suitable investors, to supporting the due diligence process and the notarised completion of the transaction. For the client, this resulted in a structured, efficient process with a suitable strategic partner.
